1. SPONSOR
The sponsor of the Giveaway is Ndiaye Consulting LLC, a Maryland for-profit limited liability company (“Company,” “Sponsor,” “We,” “Us,” “Our”), located at 8101 Sandy Spring Rd. Ste. 250, Laurel, MD 20707.

The Ndiaye Consulting LLC website (www.ndiayeconsulting.com, www.charmtaxlive.com and www.charmtaxnation.com) and related subdomains/portals (the “Website”) allow eligible individuals to enter sweepstakes promotions hosted by the Company, including this Giveaway.

The CEO Money Mastery Live Giveaway (the “Giveaway”) is open only to legal residents of the fifty (50) United States and the District of Columbia who are twenty-one (21) years of age or older at the time of entry. Employees of the Sponsor and its parent companies, affiliated companies, subsidiaries, sponsors, advertising agencies, and third-party fulfillment agencies—and the immediate family members (spouse, parents, siblings, children) and household members of each such employee—are not eligible to enter or win. The Giveaway is subject to federal, state, and local laws and regulations and is void where prohibited.
PROHIBITED JURISDICTIONS: All countries on the United States’ list of embargoed countries (see U.S. government resources), Afghanistan, Australia, Bahamas, Belgium, Belize, Bolivia, the province of Quebec (Canada), Cambodia, Chad, China, Colombia, Cuba, Dominican Republic, Ecuador, Egypt, El Salvador, Germany, Ghana, Guatemala, Guinea, Haiti, Honduras, Iran, Iraq, Italy, Jamaica, Lebanon, Mali, Myanmar, Nicaragua, North Korea, Pakistan, Panama, Peru, Singapore, Somalia, Sudan, Syria, Tanzania, Thailand, Trinidad and Tobago, Tunisia, Turkey, Uganda, Ukraine, United Kingdom, Venezuela, Yemen, Zimbabwe, and any other country where local law prohibits entry.

Participation constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of Ndiaye Consulting LLC, which are final and binding.

5. APPLICABILITY OF THE RULES
These Official Rules govern this Giveaway and, unless otherwise stated in a particular promotion, any Giveaway on the Website launched on or after July 1, 2025. The Giveaway is subject to all applicable international, federal, state, and local laws and regulations and is void where prohibited. The Official Rules form a binding contract between Ndiaye Consulting LLC and each Giveaway participant (“Participant”). If you do not agree, do not enter.

The Giveaway entry period begins September 17, 2025 at 12:01 a.m. Eastern Standard Time (EST) and ends October 15, 2025 at 1:00 p.m. EST (the “Entry Period”). The Sponsor is the official timekeeper.
Ad Entries Window (optional): If Ad Entries are permitted for bonus recognition in accordance with Sponsor’s campaign guidelines, they must be submitted by October 8, 2025 at 11:59 p.m. EST.

Affiliate Referral Entry (Free).
Register as an approved Affiliate through the Sponsor’s affiliate portal (GHL Affiliate Manager) and obtain your unique affiliate link.
Refer at least one (1) individual who completes a valid, non-duplicative registration for CEO Money Mastery Live (virtual) on October 15, 2025 via your unique link during the Entry Period.
There is no charge to attend the Event or to make a referral.
Note: There is no alternate method of entry for this Giveaway.

Only accurate and complete entries received during the Entry Period are eligible. Incomplete, illegible, corrupted, or untimely entries are void. Proof of submission is not proof of receipt.
Sponsor is not responsible for lost, late, misdirected, technical, or network-related errors or malfunctions of any kind. If an Affiliate Referral entry is subsequently invalidated (e.g., duplicate/fraudulent registration), associated entries may be void.
8.1 Entry Limit
One (1) entry per person during the Entry Period, regardless of method of entry. Entries beyond the limit will be void.
8.2 Required Information
Participants must provide all information requested on the Giveaway page/form. Information must be true, accurate, and complete.
8.3 Email Address Requirements
Participants may not use multiple emails, identities, addresses, logins, devices, or other tactics to circumvent the Entry Limit. The authorized account holder of the email address used to enter will be deemed the entrant. Sponsor may require proof of authorization.
8.4 No Automated Entry Devices
Entries must be submitted manually by the individual Participant. Use or attempted use of robotic, automated, programmed, or other non-manual entry methods voids all entries for that Participant and may result in disqualification.

By entering, you agree Sponsor may contact you by email/phone/mail in connection with the Giveaway, in accordance with Sponsor’s Privacy Notice available at www.ndiayeconsulting.com/privacy.
8. ENTRY LIMITATIONS AND RESTRICTIONS

Number of Winners: Sponsor will randomly select ten (10) Participants from all valid entries received to receive the following non-cash prize package (each, a “Prize”):
Seat in the CEO Implementation Workshop (virtual or as specified by Sponsor)
Access to a group Q&A session with Brittany Ndiaye (format/time at Sponsor’s discretion)
60-day insider access to designated Sponsor resources (format/content at Sponsor’s discretion)
Notes:
Travel and accommodations are not included.
Prizes have no cash value, are non-transferable, may not be sold or substituted by Winner, and may be subject to availability or legal restrictions.
Sponsor may substitute a prize of equal or greater value at its sole discretion.
Winners may decline any portion of the Prize; declined or unclaimed portions will not be replaced or converted to cash, and Sponsor has no obligation to award them to an alternate.
Attendance Requirement: Winners must be present (logged in) at the free virtual event, CEO Money Mastery Live on October 15, 2025, to claim workshop and Q&A components of the Prize.
Tax reporting: Prize values may be considered taxable income. As of 2025, the U.S. reporting threshold is $600 USD. Winners may be required to submit a Form W-9/W-8 and may receive a 1099 as applicable.

Potential winner(s) (“Potential Winners”) will be selected randomly by Sponsor from all eligible entries received during the Entry Period. Odds of winning depend on the number of eligible entries.

Potential Winners will be notified via the email address used to enter. Potential Winners must respond within 24 hours (or the period stated in the notification). Failure to respond may result in disqualification and forfeiture. Sponsor may also attempt phone contact if a number is provided. By entering, Potential Winners authorize Sponsor to name or tag them on Sponsor’s Website or social channels unless prohibited by law (in which case you must notify Sponsor during verification).

A Potential Winner is confirmed as a “Winner” only after Sponsor verifies eligibility and compliance with these Official Rules. Potential Winners must timely complete all requirements to claim the Prize; Sponsor’s decisions are final and binding.

To receive the Prize, Potential Winners (and guests, if any) must accurately complete and timely return Sponsor’s Affidavit of Eligibility, Liability Release, and Publicity Release (where permitted by law) and any other documentation reasonably required by Sponsor (collectively, “Winner Documentation”). Failure to timely and fully complete documentation may result in disqualification and forfeiture.

Sponsor may deem a Participant, Potential Winner, and/or Winner ineligible or disqualified for reasons including, without limitation: (i) failure to meet eligibility; (ii) violation of these Official Rules or Sponsor instructions; (iii) invalid email at entry; (iv) failure to timely respond to notifications/requests; (v) inability to verify identity within 7 business days; (vi) failure to complete required documentation; (vii) background check issues (if applicable to a prize); (viii) false/misleading information; (ix) fraud or deception; (x) abusive/harassing conduct; (xi) inability to accept prize; or (xii) force majeure or causes beyond Sponsor’s control that prevent award/fulfillment. If disqualified, Sponsor may select an alternate, time permitting.

Except where prohibited, participation constitutes consent for Sponsor to use entrant’s name, likeness, voice, opinions, biographical information, and state/province of residence for promotional purposes in any media without further payment or consideration.

Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Giveaway for any reason, including but not limited to acts of nature, public unrest, virus/bug, fraud, or technical issues affecting administration, security, or fairness. Sponsor may disqualify any individual who tampers with the entry process or operation of the Giveaway or Website, or who violates these Official Rules.

By participating, Participant agrees to release and hold harmless Sponsor and its officers, directors, employees, and agents (the “Released Parties”) from any claim or cause of action arising out of participation or receipt/use of any Prize, including but not limited to: technical errors; unauthorized human intervention; printing errors; lost/misdirected communications; administrative errors; or injury/death/damage to persons or property related to participation or prize use.
To the maximum extent permitted by law, Participant agrees that the Released Parties’ liability is limited to $100 (or the actual out-of-pocket cost of entering, if any), and waives all rights to punitive, consequential, direct, or indirect damages, and to attorneys’ fees.

This Giveaway is governed by the laws of the State of Maryland (USA), without regard to conflicts principles. Any and all disputes arising out of or connected with this Giveaway shall be resolved individually, without resort to any form of class or representative action.

19. MANDATORY ARBITRATION
Please read carefully. Except where prohibited by law, any claim or controversy arising out of or related to these Official Rules, the Giveaway, any service/product/information provided by Sponsor, or your relationship with Sponsor that cannot be resolved informally or through negotiation within 120 days shall be resolved by binding, confidential arbitration administered by the American Arbitration Association (AAA), and judgment on the award may be entered in any court having jurisdiction.
Informal Resolution: Contact [email protected] to initiate an informal resolution process.
Forum & Rules: Arbitration before a single neutral arbitrator, in English, seated in Maryland (or via video/teleconference by agreement), under the AAA Commercial Arbitration Rules. See www.adr.org or call 1-800-778-7879.
Scope: The arbitrator has exclusive authority to resolve disputes relating to the interpretation, applicability, enforceability of these Official Rules (including this arbitration provision), and whether this agreement can be enforced by/against non-signatories as applicable by law.
Fees: AAA filing/administration/arbitrator fees per the AAA Rules. Otherwise, each party bears its own additional fees/costs (e.g., attorneys, experts).
Substantive Law: The arbitrator shall apply Maryland substantive law (without conflicts principles). Any award shall be final, with limited review available under the Federal Arbitration Act.
Class Waiver: Disputes will be arbitrated only on an individual basis; no class/representative arbitration or consolidation. If the class waiver is deemed unenforceable, this arbitration provision is void. Otherwise, if any portion (other than the class waiver) is unenforceable, the remainder remains in effect.
Time Limit: All claims must be brought within one (1) year after they arise (inclusive of the 120-day informal period).
Survival: This provision survives termination of your relationship with Sponsor.

Sponsor Contact: [email protected] for general Giveaway questions.
Conflicts/Interpretation: In the event of a conflict between these Official Rules and other communications, these Official Rules control. Sponsor’s interpretations are final.
